b) Licence agreement for Notebook Hardware Control Professional Edition

Please read carefully through the following software licence agreement. By installing the
software, you explicitly agree to be bound by the conditions of this agreement. If you do not
accept the conditions of this agreement, you may not use the software. This licence agreement
treats about a) Notebook Hardware Control free Personal Edition and b) Notebook Hardware
Control Professional Edition.

The abbreviation NHC stands for Notebook Hardware Control.

For damage, which could be caused by the software, no responsibility is taken over.


a) Notebook Hardware Control free Personal Edition

This free NHC free Personal Edition is intended exclusively for private use on a single
workstation.

The NHC free Personal Edition may not be used for commercial or professional purposes, with
exception for testing (not longer as tree days) and the activation of NHC Professional edition.


b) Notebook Hardware Control Professional Edition

The free NHC free Personal Edition can be activated on the more extensive NHC Professional
Edition by purchasing the NHC Professional license (in form of a personal license key which
can't be transferred, exchanged or multiplied).

The NHC Professional Edition supports additional features and depending on the license type
it can be used for the private and commercial use.

The NHC Professional Edition license can have different restrictions. If the license is
restricted only for private use, it is not allowed to use the license for commercial or
professional purposes.

It is an offence to reproduce or distribute the NHC Professional license key, the software
NHC Professional Edition or parts thereof without authorisation. Such actions can lead to
criminal or civil proceedings resulting in severe penalties or damage claims.

The Licensor grants you - hereinafter the "Licensee" - use of this Software subject to the
following licensing conditions (you will find this conditions after the conditions of the free
Personal Edition):

1. Subject-matter of agreement of NHC free Personal Edition (a)

   1.1 This agreement refers to the computer programs, program specifications and user manual.

   1.1 The user is granted the right to use the Software free of charge.

   1.3 The computer program described in the user manual conforms to the latest technological
       standards. The Licensor wishes to point out, however, that the latest technological standards
       do not guarantee software programs to function entirely without error in all applications and
       combinations.
       For damage, which could be caused by the software, no responsibility is taken over.

   1.4 The Software must not be used in hazardous environments requiring continuous fail-safe
       performance (high risk activities such as the operation of nuclear facilities, weapons systems,
       aircraft navigation or communication systems and life-support machines).

2. Scope of application of NHC free Personal Edition (a)

   The Licensor grants the software user (called "Licensee") a single, non-exclusive, personal
   right (Licence) to use the Software on one computer system and in one location only as
   detailed below:

   2.1 The Licensee may install the Software on a private Personal Computer, load it into the user
       memory and run it accordingly.

   2.2 The Licensee may only use the Software for strictly private purposes. Institutes of
       education and public utilities are classed as commercial or business premises. Similarly, the
       Software may not be used in a home office for commercial or business purposes.

   2.3 The Licensee may copy the complete Software package in order to pass it on to a third
       party provided he/she does so free of charge, leaving the brand name, logo and copyright note
       intact and drawing attention to these conditions of use.

   2.4 The Licensee may make backups of the Software.


3. Special restrictions for NHC free Personal Edition (a)

   The Licensee is forbidden in particular

   3.1 to reproduce the Software in whole or in part on the same or other media outside the limits
       indicated in agreement 2.;

   3.2 to separate the components of the software in order to use them in more than one computer;

   3.3 to modify, translate, reverse-engineer, decompile, disassemble or generate works derived
       from the Software, or to reproduce, translate or modify the written material or generate works
       derived therefrom

   3.4 to pass on, rent or lease the Software to a third party for business purposes, or to use it in
       any other form for commercial purposes. This also applies to copies of the Software;

   3.5 to pass on the Software or copies thereof to a third party in return for payment. This
       software package may not be distributed on commercial data media (e.g. sampler CDs,
       shareware CDs, OEM versions) without the permission of the Licensor.


4. Distribution of rights of NHC free Personal Edition (a)

   4.1 This Software is protected by copyright. All rights arising from the copyright are the
       property of the Licensor. The copyright covers in particular the program code, documentation,
       appearance, structure and organisation of the program files, program name, logos and other
       forms of representation within the Software.

   4.2 The Licensee is only granted the right to individual, private use of the Software. This does
       not imply conferral of any rights to the Software itself. The Licensor reserves all rights of
       publication, reproduction, editing and utilisation.


5. Term of agreement of NHC free Personal Edition (a)

   5.1 The agreement is concluded for an indefinite period. The Licensee's right to use the
       Software shall end automatically without notice in the event of non-compliance with any of
       the conditions of this agreement.

   5.2 On termination of the right of use, the Licensee is obliged to uninstall the Software from
       his/her computer system. He/she is also obliged to destroy all copies of the Software together
       with all written material and all copies thereof, including any modified copies.


6. Warranty of NHC free Personal Edition (a)

   6.1 The right to use this Software is granted to the Licensee free of charge. It is not therefore
       subject to any sales or warranty legislation. The Licensee must accept this program in its
       currently available form, and is consequently not entitled to any warranty claims.


7. Liability of NHC free Personal Edition (a)

   7.1 The Licensor guarantees the fitness of the product for the contractual purpose, as described
       in the program specification and user manual. No liability is accepted in respect of the
       suitability of the Software for the user's purposes and its compatibility with the user's
       existing software.

   7.2 Damage claims against the Licensor are excluded irrespective of legal basis, particularly on
       grounds of delayed performance or impossibility, neglect of advisory and accessory
       contractual obligations, pre-contractual duties, defective performance, violation of third-party
       industrial property rights and unlawful acts, unless the Licensor has acted with intent or gross
       negligence or unless the damage claims result from the failure to ensure a warranted quality.

   For damage (of psychological, physical, economic and social nature), which could be caused
   by the software, no responsibility is taken over!


8. Final Provisions for NHC free Personal Edition (a)

   8.1 On all legal relations between the parties the laws of the Republic of Italy - Bozen find
       application.

1. Subject-matter of agreement of NHC Professional Edition (b)

   1.1 The Agreement refers activated computer program NHC Professional Edition in the
       released, full version including the licence-key, necessary for its release together with the
       program description, user manual and other accompanying literature.

   1.2 The main program is transferred to the Licensee by order via sealed data carriers or by
       downloading from the Licensor's website. Until a licence-key is purchased, the main program
       is the NHC free Personal Edition which is only for private use. In order to use NHC for
       professional purpose and in the complete version, the Licensee must purchase a License-key
       from the Licensor or an authorised dealer, to activate it. The Licence file is transferred to
       the Licensee by sending a sealed data carrier or, at the Licensee's request and in some cases
       at the Licensor's option, by email. If the main program or Licence file is downloaded by the
       Licensee, the transfer is deemed to have taken place on completion of the download. The
       main program is accompanied by the Documentation; this is supplied by the Licensor
       irrespective of the mode of software transfer, either as a printed version or as a file in a
       universal format (e.g. hlp, txt or pdf). If the Licensee obtains the Software by downloading
       it from the Licensor's server by modem or internet, he also obtains the Documentation in the
       same way.

   1.3 The computer program described in the user manual conforms to the latest technological
       standards. The Licensor wishes to point out, however, that the latest technological standards
       do not guarantee software programs to function entirely without error in all applications and
       combinations.
       For damage, which could be caused by the software, no responsibility is taken over.

   1.4 The Software must not be used in hazardous environments requiring continuous fail-safe
       performance (high risk activities such as the operation of nuclear facilities, weapons
       systems, aircraft navigation or communication systems and life-support machines).



2. Scope of application of NHC Professional Edition and License (b)

   The Licensor grants the Licensee a non-exclusive, non-transferable right to use one copy of
   the Software subject to the terms and conditions of this agreement - particularly with regard
   to the type and quantity of computers - ("Licence").

   A license differs according to the use by private ones or the commerce and according to the
   number of computers.  It is forbidden to use the private license in the commerce and to use
   the license on several computers more than intended.


3. Reproduction rights and distribution of NHC Professional Edition and License (b)

   3.1 The Licensee may copy the NHC Professional License key to the extent necessary for
       activate the software free Personal Edition to NHC Professional Edition. This includes
       opening the License key file from the original data carrier of the hardware according to
       agreement 2. and loading the License key file into the working memory in order to use it.

   3.2 The Licensee may copy the Software NHC Professional Edition to the extent necessary for
       its use. This includes loading the Software into the working memory in order to use it.

   3.3 In addition, the Licensee may make a copy of the Software NHC Professional Edition and
       the License key for backup purposes. Only one backup and maximal three copies of the
       original License key and NHC Professional Edition may be produced and/or stored. This
       backup must be identified as a copy of the purchased License key and the activated NHC
       Professional Edition.

   3.4 Where regular backups of the entire data stocks including the relevant programs are part 
       of an indispensable routine for reasons of data security or ensuring a rapid reactivation 
       of the computer system following a crash, the Licensee may make the number of backup copies
       absolutely necessary. The relevant data carriers must be identified accordingly. The backup
       copies must be used exclusively for archiving purposes.

   3.5 The Licensee is obliged to take suitable precautions to prevent unauthorised third-party
       access to the Software and License key. The term "third party" also applies to subsidiaries
       of the Licensee. The original data carriers and backup copies must be stored in a place
       where they are protected from third-party access. The staff of the Licensee must be
       explicitly instructed to observe the present contractual terms and copyright provisions.

   The Licensee is not permitted,

   - subject to the exceptions explicitly granted in this Agreement, to make any other copies
     whether partial or whole of the Software or License key on the same or other carriers; this
     also applies to the printing out of the program code or License key;

   - to transfer the Software or License key from one computer via a network or other data
     transmission channel to another computer or receiving device unless the computer or other
     device at the receiving end is owned by the Licensee and covered by the terms of this
     Agreement;

   - without the written permission of the Licensor to modify, translate, reverse-engineer,
     decompile or disassemble the Software or create derivative works therefrom or, unless
     essential under the contractual terms of use, to copy, translate or modify the Documentation
     or create derivative works therefrom;

   - to remove copyright notices, serial numbers or other program identification features unless
     prior written permission has been granted by the Licensor;

   - to pass on the Software or License key to a third party or make it accessible to a third party
     in any other form. This also applies to copy the Software or License key. The term "third
     party" includes all subsidiaries of the Licensee; distribution of the Software within the group
     of companies for exclusive use at the new location is permissible subject to the written
     consent of the Licensor which may only be refused for a good reason. In this case, compliance
     must be ensured with agreement 2. and 3. "Scope of use" and the other items agreed in the
     present Contract and any subsidiary agreements. After passing on the Software and License key,
     the Licensee must delete them and any backup copies fully and immediately from the previous
     location within the group of companies;

   - to transfer the Software or License key or parts thereof to a third party by way of a
     temporary hire or leasing arrangement.


4. Other rights relating to the Software NHC Professional Edition and License (b)

   In implementing the present agreement, the Licensee acquires full rights only to the physical
   data carriers containing the Software, License key and Documentation. Rights of exploitation
   and use of the Software, License key and Documentation are only acquired to the extent
   explicitly stated in the present Agreement. The Licensor retains in particular all rights of
   publication, reproduction, editing, translation and other forms of exploitation in respect of
   the Software.


5. Term of agreement and termination of NHC Professional Edition and License (b)

   5.1 The Licensor is authorised to use the Software, License key and Documentation for an
       unlimited period.

   5.2 This shall not affect the right of both parties to give premature notice of termination for 
       a good reason. In particular, the Licensor has the right of termination without notice in
       the event of a major breach of contractual obligations by the Licensee.

   5.3 After notice of termination, the Licensee is obliged to delete the Software completely,
       particularly the original data carrier, any backup copies and the Software files installed 
       on his computer system, and eventually to return the Documentation. The Licensor is entitled
       to demand from the Licensee a solemn declaration that this deletion has taken place.


6. Warranty of NHC Professional Edition (b)

   6.1 The Licensee must accept this program in its currently available form, and is consequently
       not entitled to any warranty claims.


7. Liability of NHC Professional Edition (b)

   7.1 The Licensor guarantees the fitness of the product for the contractual purpose, as described
       in the program specification and user manual. No liability is accepted in respect of the
       suitability of the Software for the user's purposes and its compatibility with the user's
       existing software.

   7.2 Damage claims against the Licensor are excluded irrespective of legal basis, particularly on
       grounds of delayed performance or impossibility, neglect of advisory and accessory contractual
       obligations, pre-contractual duties, defective performance, violation of third-party industrial 
       property rights and unlawful acts, unless the Licensor has acted with intent or gross
       negligence or unless the damage claims result from the failure to ensure a warranted quality.

   For damage (of psychological, physical, economic and social nature), which could be caused
   by the software, no responsibility is taken over!


8. Final Provisions for NHC Professional Edition (b)

   8.1 On all legal relations between the parties the laws of the Republic of Italy - Bozen find
       application.


9. Return Right of the NHC Professional Edition License (b)

   9.1 With the purchase of the software license no return right is granted to the licensee, only
       if the parties agree controversy.


10. Update service for NHC Professional Edition (b)

    10.1 The licensee receives free updates for the current version and all under versions (e.g.
         version 1.2, version 1.3 etc.).  The licensor has the right to make available new main
         versions updates for the order to place (e.g. version 1.0 on version 2.0) not for free.


11. Miscellaneous of NHC Professional Edition (b)

    11.1 Deliveries to EC countries can only be invoiced without VAT provided the Licensee has
         quoted its IVA/UST/VAT-ID number.
